These Terms of Use (“Terms”) govern access to and use of the Resonali mobile application, website, support communications, subscriptions, purchases, content, features, and related services operated by Resonali LLC (“Resonali,” “we,” “us,” or “our”).
 
By accessing or using Resonali, downloading the app, creating an account if applicable, purchasing a subscription, tapping to accept these Terms, or otherwise using our services, you agree to these Terms. If you do not agree, do not use Resonali.
 
Important Notice: These Terms include important limitations, disclaimers, a limitation of liability, an indemnification obligation, a class action waiver, and a jury trial waiver. Please review these Terms carefully.
 
1. About Resonali
Resonali is a clinician-facing acoustic voice analysis tool for speech-language pathologists. It is designed to support structured voice measurement, reference-range comparison, clinician review, documentation support, and tracking voice measures over time.
Resonali may calculate or display acoustic and aerodynamic voice-related measures, reference-range comparisons, structured summaries, exports, or report-style outputs based on user-submitted recordings and user-selected information.
 
2. Not Medical Advice, Diagnosis, or Treatment
Resonali is not intended to diagnose, treat, cure, screen for, prevent, or independently monitor any disease or medical condition. Resonali does not provide medical advice, treatment recommendations, emergency services, or clinical decision-making.
Resonali does not replace clinical judgment, professional training, instrumental assessment, medical evaluation, individual history, case review, referral, follow-up, or any other professional responsibility.
Users remain solely responsible for all clinical interpretation, decision-making, documentation, communication, referrals, treatment planning, follow-up, and compliance with applicable professional standards, workplace policies, and laws.
 
3. Regulatory Status and Intended Use
Resonali is intended as a clinician-facing acoustic voice analysis and workflow support tool.
Resonali is not intended to function as an autonomous diagnostic system, medical device for independent diagnosis, emergency tool, electronic health record, patient monitoring system, treatment recommendation system, or substitute for professional clinical evaluation.
Users are responsible for determining whether their intended use of Resonali is appropriate under applicable clinical, professional, regulatory, workplace, and legal requirements.
 
4. Professional Use
Resonali is intended for use by qualified professionals, including speech-language pathologists and other appropriately trained users acting within the scope of their professional role.
By using Resonali, you represent that you have the professional authority, training, consent, authorization, and legal basis necessary to collect, submit, process, review, use, store, export, document, or share any information or recordings you provide through Resonali.
You are responsible for determining whether Resonali is appropriate for your intended clinical, professional, educational, or business use.
 
5. No Emergency Use
Resonali is not designed or intended for emergency use. Do not use Resonali to make urgent, emergency, or time-sensitive medical decisions. If an individual may need urgent medical attention, contact appropriate emergency or medical services.

6. Recording Quality, Measurement Variability, and Output Limitations
Resonali’s outputs depend on multiple factors, including but not limited to recording quality, microphone and device characteristics, background noise, room acoustics, distance from the microphone, task instructions, task administration, speaker effort, speaker attention, vocal behavior during recording, selected age range, selected reference category, user-entered information, network conditions, software limitations, and other factors outside Resonali’s control.
Because these factors may vary, Resonali does not guarantee that any measurement, calculation, result, reference comparison, summary, export, report, or output will be accurate, complete, reproducible, clinically appropriate, or suitable for any particular purpose.
You are responsible for determining whether any result is valid, usable, clinically meaningful, appropriate for documentation, appropriate for comparison across sessions, or appropriate for any professional use.
 
7. Reference Ranges and Clinical Interpretation
Reference ranges, comparison labels, flags, summaries, or similar information are provided for clinician review and informational support only.
Reference ranges may not apply to every individual, clinical presentation, recording condition, language background, sex or gender context, age range, diagnosis, vocal task, equipment setup, or clinical situation.
You are responsible for interpreting any reference-range comparison in context and deciding whether additional evaluation, referral, instrumental assessment, medical review, or clinical follow-up is appropriate.
 
8. Privacy and Data Responsibilities
Your use of Resonali is also governed by our Privacy Policy.
Resonali is designed to minimize the collection of directly identifying information. You should not enter names, dates of birth, medical record numbers, addresses, phone numbers, email addresses, insurance information, billing information, full medical records, diagnosis records, treatment records, electronic health record data, or other unnecessary identifying or sensitive information into Resonali.
If you record or analyze another person’s voice, you are responsible for obtaining any consent, authorization, or permission required by applicable law, workplace policy, professional standards, or clinical setting.
You are responsible for any information you enter, upload, record, export, save, share, print, copy, document, or store outside Resonali.
 
9. HIPAA and Protected Health Information
Resonali is not intended to be used as an electronic health record, health record system, client record system, patient management system, or repository for protected health information.
Unless Resonali enters into a separate written agreement stating otherwise, you should not use Resonali to collect, store, transmit, or maintain protected health information or directly identifying information.
Resonali does not represent that it is a HIPAA-compliant electronic health record, health record system, client management system, or protected health information repository.
You are responsible for determining whether your use of Resonali is appropriate under HIPAA or other applicable privacy laws, workplace policies, professional standards, or organizational requirements.
 
10. No Business Associate Agreement
Unless Resonali enters into a separate written Business Associate Agreement or other written agreement expressly signed by Resonali, Resonali does not agree to act as a business associate, subcontractor business associate, records custodian, electronic health record vendor, protected health information repository, or regulated health data repository.
Use of Resonali does not create a Business Associate Agreement, data processing agreement, enterprise agreement, clinical services agreement, or other special compliance agreement by implication.
 
11. User Content and Submitted Information
“User Content” means any audio recordings, selected information, session information, notes, files, support messages, screenshots, exports, or other information you submit, enter, upload, generate, or provide through Resonali.
You retain responsibility for your User Content. By submitting User Content to Resonali, you grant Resonali a limited right to process, transmit, analyze, display, and use that User Content as necessary to provide, maintain, troubleshoot, secure, and improve Resonali, respond to support requests, comply with legal obligations, and enforce these Terms.
You represent and warrant that you have all rights, permissions, consents, and authorizations necessary to submit and use User Content in connection with Resonali.
 
12. Exports, Reports, and External Storage
Resonali may allow users to generate, export, save, download, copy, share, print, upload, or otherwise store results, summaries, or report-style outputs.
Once information is exported, downloaded, shared, printed, uploaded, copied, or stored outside Resonali, Resonali is not responsible for how that information is used, stored, disclosed, modified, protected, deleted, or documented.
You are responsible for reviewing all outputs before using, sharing, documenting, or relying on them.
 
13. Account Access
If Resonali offers account creation or account-based features, you are responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account.
You agree to provide accurate account-related information and to promptly notify Resonali of unauthorized access, security concerns, or suspected misuse.
Resonali may suspend or terminate access if we believe an account has been misused, compromised, used in violation of these Terms, or used in a way that may harm Resonali, other users, service providers, or others.
If Resonali does not offer account creation, this section applies only to the extent account-based features are later added.
 
14. Subscriptions, Purchases, and Payment
Resonali may offer paid subscriptions, in-app purchases, premium features, or other paid access options.
If you purchase through the Apple App Store or another app store, your purchase, payment method, renewal, cancellation, refund, and billing relationship may be managed by that app store or its payment system. Resonali does not receive or store full payment card numbers from App Store transactions.
Subscription details, including subscription name, duration, price, renewal terms, included features, and cancellation options, will be presented where required in the app, App Store purchase flow, or related purchase materials.
Subscriptions may renew automatically unless cancelled according to the applicable app store or subscription provider’s rules. You are responsible for managing or cancelling your subscription through the applicable app store, subscription provider, or purchase platform.
Refunds, credits, cancellations, renewals, and billing disputes may be subject to the policies of Apple, the App Store, or the applicable payment provider.
 
15. App Store Terms and Apple
If you download or purchase Resonali through the Apple App Store, your use of the app may also be subject to Apple’s applicable terms, including the Apple Media Services Terms and Apple’s Standard End User License Agreement unless a custom license agreement applies.
These Terms apply between you and Resonali. Apple is not responsible for providing maintenance or support for Resonali. To the extent required by Apple’s terms, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce applicable provisions against you.
If these Terms conflict with applicable Apple terms or App Store rules, the Apple terms or rules will apply to the extent required.
 
16. Third-Party Terms
You agree to comply with any applicable third-party terms when using Resonali, including terms that apply to your device, operating system, app store account, subscription provider, internet service provider, workplace systems, cloud storage, or other services used in connection with Resonali.
Resonali is not responsible for third-party platforms, app stores, payment processors, external websites, workplace systems, electronic health records, cloud drives, messaging platforms, email accounts, or other systems controlled by you, your workplace, or another provider.
 
17. Acceptable Use
You agree not to:

  • Use Resonali for any unlawful, harmful, fraudulent, abusive, or unauthorized purpose

  • Use Resonali outside your professional scope, authority, consent, or authorization

  • Enter directly identifying information, protected health information, or unnecessary sensitive information unless Resonali has entered into a separate written agreement permitting such use

  • Use Resonali to diagnose, treat, monitor, screen for, cure, prevent, or make independent medical decisions

  • Use Resonali to identify, authenticate, verify, or track any individual based on voice characteristics

  • Reverse engineer, decompile, disassemble, modify, copy, or create derivative works from Resonali except as permitted by law

  • Interfere with, disrupt, overload, probe, scan, or test the security of Resonali or related systems

  • Attempt to gain unauthorized access to Resonali, other accounts, systems, networks, or data

  • Upload malicious code, harmful files, or content that infringes, violates, or misappropriates the rights of others

  • Use automated scraping, bots, or similar tools to access Resonali without permission

  • Misrepresent Resonali’s outputs as a diagnosis, medical determination, validated clinical conclusion, or substitute for professional judgment

  • Remove, obscure, or alter legal, copyright, trademark, or proprietary notices
     

18. Intellectual Property
Resonali, including its software, website, design, text, graphics, logos, icons, workflows, interfaces, reports, templates, documentation, features, and related materials, is owned by Resonali LLC or its licensors and is protected by intellectual property and other laws.
Subject to your compliance with these Terms, Resonali grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use Resonali for your professional use.
No ownership rights are transferred to you. You may not copy, distribute, modify, sell, lease, sublicense, reverse engineer, or otherwise exploit Resonali except as expressly allowed by these Terms or applicable law.
 
19. Feedback
If you provide feedback, suggestions, ideas, comments, feature requests, or recommendations to Resonali, you grant Resonali the right to use them without restriction, compensation, attribution, or obligation to you.
20. Third-Party Services
Resonali may rely on third-party services for hosting, backend infrastructure, app distribution, payment processing, subscription management, diagnostics, analytics, email, customer support, website hosting, development, security, or related business operations.
Third-party services may be governed by their own terms and privacy policies. Resonali is not responsible for third-party services, third-party content, third-party platforms, app stores, payment processors, external websites, or systems controlled by you, your workplace, or another provider.
 
21. Updates and Availability
Resonali may update, modify, suspend, discontinue, or limit any feature, service, content, subscription option, or functionality at any time.
Resonali may not be available at all times and may be affected by maintenance, outages, network conditions, device limitations, third-party service issues, software errors, or circumstances outside our control.
We do not guarantee uninterrupted, error-free, secure, or continuous availability.
 
22. Accessibility
Resonali aims to support accessibility and usability where reasonably achievable. If you experience difficulty accessing the Resonali website or services, contact us at support@resonali.com.
Accessibility-related requests do not guarantee that every requested modification will be possible, immediate, or reasonable under the circumstances, but Resonali will make reasonable efforts to review and address accessibility concerns.
 
23. Disclaimers
Resonali is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Resonali disclaims all warranties, express or implied, including warranties of accuracy, reliability, completeness, merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, clinical suitability, professional suitability, or suitability for any specific workflow, documentation purpose, clinical purpose, or business purpose.
Resonali does not warrant that any output, result, reference comparison, summary, export, or report will be accurate, complete, reproducible, valid, clinically appropriate, or free from error.
 
24. Limitation of Liability
To the maximum extent permitted by law, Resonali LLC and its owners, officers, employees, contractors, service providers, licensors, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, loss of data, loss of goodwill, business interruption, clinical consequences, documentation errors, professional liability, or costs of substitute services, arising out of or related to Resonali or these Terms.
To the maximum extent permitted by law, Resonali’s total liability for any claim arising out of or related to Resonali or these Terms will not exceed the amount you paid to Resonali for access to Resonali during the three months before the event giving rise to the claim, or fifty U.S. dollars, whichever is greater.
Some jurisdictions do not allow certain disclaimers or limitations of liability, so some limitations may not apply to you. In those jurisdictions, liability will be limited to the greatest extent permitted by law.
 
25. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Resonali LLC and its owners, officers, employees, contractors, service providers, licensors, and affiliates from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use or misuse of Resonali

  • Your User Content

  • Your exported, shared, documented, or externally stored results

  • Your clinical interpretation, documentation, decision-making, treatment, referral, follow-up, or professional services

  • Your violation of these Terms

  • Your violation of applicable law, workplace policy, professional standard, privacy obligation, security obligation, or consent requirement

  • Your infringement or violation of any rights of another person or entity
     

26. Termination
You may stop using Resonali at any time.
Resonali may suspend, restrict, or terminate your access to Resonali at any time if we believe you have violated these Terms, created risk, caused harm, misused the service, failed to pay applicable fees, or used Resonali in a way that may expose Resonali or others to liability.
Termination does not limit any rights or remedies available to Resonali, and provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, payment obligations, dispute resolution, governing law, and legal compliance.
 
27. Changes to Resonali or These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above or provide notice as appropriate.
Continued use of Resonali after updated Terms are posted means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using Resonali.
 
28. Informal Dispute Resolution
Before filing a claim, you agree to first contact Resonali at support@resonali.com and attempt to resolve the dispute informally. Your notice should include your name, contact information, a description of the dispute, and the relief you seek.
Resonali will attempt to review and respond in good faith. If the dispute is not resolved informally within 30 days after receipt of the notice, either party may pursue available legal remedies.
 
29. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where prohibited by applicable law.
 
30. Venue
To the extent permitted by law, you agree that any legal action arising out of or related to these Terms or Resonali will be brought in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue in those courts.
If applicable law does not permit venue in Florida, the dispute may be brought in another court of competent jurisdiction as required by law.
 
31. Class Action Waiver
To the maximum extent permitted by law, you and Resonali agree that any dispute will be brought only on an individual basis and not as a plaintiff, claimant, class member, or representative in any class, collective, consolidated, mass, private attorney general, or representative proceeding.
No court or other decision-maker may consolidate claims or preside over any class, collective, consolidated, mass, private attorney general, or representative proceeding unless both parties agree in writing.
If any part of this class action waiver is found unenforceable as to a particular claim or request for relief, that claim or request for relief may be severed and proceed only to the extent required by law.
 
32. Jury Trial Waiver
To the maximum extent permitted by law, you and Resonali knowingly and voluntarily waive any right to a trial by jury in any dispute, claim, or proceeding arising out of or relating to these Terms, Resonali, the mobile application, website, subscriptions, purchases, services, privacy practices, communications, or any related transaction.
 
33. Export Control and Legal Compliance
You agree to comply with all applicable laws and regulations when using Resonali. You may not use, export, re-export, or transfer Resonali in violation of applicable export control, sanctions, or trade laws.
 
34. Electronic Communications
By using Resonali or contacting us electronically, you consent to receive communications from Resonali electronically, including notices, support responses, policy updates, and service-related communications.
Electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by law.

35. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified or limited to the minimum extent necessary to make it enforceable where possible.
 
36. No Waiver
Resonali’s failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision later.
 
37. Assignment
You may not assign or transfer your rights or obligations under these Terms without Resonali’s prior written consent. Resonali may assign or transfer these Terms as part of a merger, acquisition, reorganization, sale of assets, financing, business transfer, or operation of law.
 
38. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms presented in connection with specific features, subscriptions, purchases, app store requirements, or written agreements signed by Resonali, constitute the entire agreement between you and Resonali regarding your use of Resonali.
